We are seeking to hire an experienced commercial attorney to join our legal team. You will be a primary partner to the business on general commercial matters and leading contracting support for complex vendor engagements and enterprise sales transactions. You will oversee all commercial contracting, working cross functionally with various teams to ensure business alignment with commercial agreements. You will also play an important role in shaping policies and processes to help our legal department scale.


Primary Responsibilities

  • Independently review, draft, and negotiate a variety of commercial agreements for sales and procurement organizations in high-volume, fast paced business in line with internal SLAs and turnaround times. 
  • Serve as escalation point on non-standard legal issues for procurement and sales contracting for other members of commercial team. 
  • Partner with sales leadership to set deal strategy and to provide centralized contact for key deal escalations and internal/external calls. 
  • Lead commercial negotiations related to data privacy and security documents, such as DPAs and security addenda, for sales and vendor contracting. 
  • Advise on customer and vendor matters, contracting disputes, and related projects.
  • Manage processes governing the intake, review, and approval of commercial agreements in high volume contracting workflow. Lead projects on technology, systems and contract process optimization for sales and procurement teams.
  • Independently review, draft, and negotiate channel sales agreements, including various types of partnership engagements across the channel. Drive channel strategy, templates, and related initiatives to build out scalable processes for contracting support. 
  • Collaborate with other legal team members and organizational partners to develop, update and maintain templates, negotiation resources and playbooks.
  • Contribute to development and implementation of innovative ways to scale commercial legal processes.
  • Handle ad-hoc projects across a spectrum of complex business, legal, and strategic issues.

Education and Experience

The minimum education, experience, skills and certifications/training required to successfully perform the job.

  • BBA / BA / BS degree required
  • JD required + admission to a state / DC bar
  • Strong contract drafting and negotiation expertise across a wide range of complex commercial agreements. Experience supporting SaaS contracting. 
  • Demonstrated success working in fast-paced in-house legal function partnering with business stakeholders to provide dynamic legal support.
  • Experienced with leading on complex transactions and handling risk-based escalations on deal work. 
  • Collaborative, team-oriented approach to legal support with strong communication skills. 
  • Proficiency with negotiating contracts pertaining to data privacy and data security.  
  • 10 plus years’ experience in commercial law, preferably with at least 5 years of in-house transactional legal support

This role can be performed from any office in the US. The pay range for this position is $175,000 - $185,000/yr; however, base pay offered may vary depending on job-related knowledge, skills, and experience. This position is eligible for an annual bonus and restricted stock unit grant based on individual performance in addition to a full range of benefits outlined here. This information is provided per the relevant state and local pay transparency laws for the location in which this position will be performed. Base pay information is based on market location.
